1. Acceptance of Terms
   • By accessing or using the Services, you agree to be bound by these Terms, as well as any additional terms and conditions we may provide, such as privacy and other legal notices. You must be 18 years or older to use the Services. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that entity to these Terms.
     
     
2. Alpha/Beta Release Disclaimer
   • Gaimplan is currently in its alpha and beta testing phases. As such, the Services are provided as part of a testing program and may include bugs, glitches, or other issues that could affect your experience. By using the alpha or beta versions of the Services, you acknowledge and agree that these versions are pre-release, and as such, may not perform as expected or intended.
   • We welcome feedback on the alpha/beta versions of the Services, which you can provide to support@gaimplan.ai. By providing us feedback, you grant Gaimplan a perpetual, worldwide, fully transferable, sub-licensable, irrevocable, fully paid-up, royalty free license to use your feedback, suggestions, and ideas in any way, including in future modifications or improvements of the Services, other products or services, advertising, or marketing materials. Please note that features and performance may change substantially before the official release.
3. User Accounts and Responsibilities
   • To use certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account.
4. Use of the Services
   • You agree to use the Services only for lawful purposes. You may not:
     • Post or transmit any content that is unlawful, defamatory, obscene, or infringing on third-party rights.
     • Attempt to disrupt the Service or gain unauthorized access to systems.
     • Use automated means to scrape or collect data from the Service without our permission.
   • We may suspend or terminate access to the Services for any violation of these Terms or for any unlawful use of the Services. If someone makes a claim against us because you used the Services unlawfully, you will be responsible for any harm to us.
     
     
5. Third Party Connections
   • The Services may allow you to connect your account to third party products and services. Gaimplan does not warrant, and is not responsible for, such third party products and services or claims made about them, including availability, accuracy, security or reliability, or the actions or inactions of any third party. You must review and comply with any applicable third party terms, including any applicable privacy practices of those third parties prior to connecting your Gaimplan account to those third party products and services.
6. Privacy
   • Our Privacy Policy explains how we collect, process, use, and share your data and information. By using the Services, you acknowledge and agree to the Privacy Notice.
7. Intellectual Property
   • All materials provided by Gaimplan through the Services, including but not limited to text, images, software, and logos, are protected by intellectual property laws. You may not use, reproduce, or distribute any part of the Services without prior written consent from us.
8. Modifications to the Service
   • We reserve the right to modify, suspend, or discontinue the Services at any time. You agree we will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
9. Limitation of Liability
   • To the fullest extent permitted by law, Gaimplan and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Services; (ii) any unauthorized access to or use of our servers or the Services; (iii) any interruption or cessation of transmission to or from the Services; or (iv) any bugs, viruses, or other harmful components. The total aggregate liability of Gaimplan and its affiliates arising out of or relating to these Terms is limited to the greater of: (1) the fees you paid to use the relevant Services in the preceding 12 months; or (2) $100. The above limitations apply even if Gaimplan and its affiliates have been advised of the possibility of such damages. These Terms set forth your exclusive remedy with respect to the Services.
10. Disclaimer of Warranties
    • The Services are provided "as is" and "as available" without any warranties of any kind, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant the Services are free from errors, viruses, or other harmful components, nor do we provide any warranties with respect to data loss, accuracy, reliability, or availability.
11. Termination
    • You may cancel your account at any time. We may terminate or suspend your account or access to the Services at any time, for any reason, and without notice. Upon termination, you will cease all use of the Services. All provisions of these Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, and limitations of liability.
12. Governing Law
    • These Terms are governed by the Federal Arbitration Act and the laws of the State of California, without regard to conflict of laws principles.
13. Dispute Resolution and Arbitration
    • Any disputes arising from or relating to these Terms or the Services will be resolved through binding arbitration. You waive your right to a jury trial or to participate in a class action. This arbitration provision shall survive termination of this Agreement and/or the termination of your account.
14. Changes to These Terms
    • We may update these Terms from time to time. If we make material changes, we will provide you commercially reasonable notice. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
